FARM CREDIT SERVICES SOUTHWEST AG CENTER CONDITIONS OF USE As Farm Credit Services Southwest is committed to supporting our agricultural community, the Farm Credit Services Southwest Agricultural Center (the “Ag Center”) is available for scheduled meetings of Agriculture Groups throughout the Imperial Valley, free of charge. Agriculture Groups are defined for the purposes of this Use Agreement as any nonprofit or for-profit business, organization or community group that puts forth their efforts in the interest of agriculture, nature, land and resources, or involved in the science, art, or practice of cultivating the soil, producing crops, and raising livestock. The Ag Center will accommodate up to 100 people indoors or in the alternate can be partitioned to accommodate two groups of up to 50 people. Also available indoors is a full kitchen with serving area, and outdoors a BBQ with patio area and additional outdoor seating. Restrooms are available. Portable tables and chairs will also be available upon request. The undersigned person, individually or on behalf of an Agriculture Group (the “User”) hereby agrees as follows: TERMS OF USE: A. Requests for Use. 1. Applications for use of the Ag Center must go through the Farm Credit Services Southwest Imperial Valley Branch Office and approved by the Branch Manager or Regional SVP. Farm Credit Services Southwest reserves the right to refuse any use of the Ag Center by any group, whether or not an Agriculture group. 2. A calendar of events will be maintained in the Branch Office. A User may request to reserve multiple or recurring events and each use shall be subject to the terms of this Use Agreement. 3. A completed and signed Use Agreement must be submitted for all Users. This will outline rules for usage and cleanup requirements, and is intended to be binding on the user. The person signing this Use Agreement on behalf of an Agriculture group must have the authority of that Agriculture Group to do so. Each User must designate a primary and secondary authorized representative, and provide Farm Credit Services Southwest with contact information for those representatives. 4. Please call the office at least one week in advance to reserve the meeting room. 5. Reservations cannot be requested more than 180 days prior to the event. B. Access and Guidelines for Use. 1. During regular business hours (8:00 a.m. - 4:30 p.m.) a Farm Credit employee will be in the building and will have access to any rooms needed and additional supplies. 2. Between 8:00 AM and 4:30 PM please park in the north end of the parking lot and enter through the main entrance. 3. The User is responsible for setting up and taking down equipment and leaving the Ag Center in order. Equipment available for use is listed on the Ag Center Meeting Room application. 4. If the use of the Ag Center is after business hours, the primary or secondary contact individual identified by User to Farm Credit Services Southwest shall be responsible for securing the building and arming the alarm when exiting the premises. 5. If the use of the Ag Center completes after business hours, all access key cards are to be returned to Farm Credit Services Southwest Imperial Valley Branch Office the following business day. 6. For meetings held after business hours, let a Farm Credit team member know when your meeting will begin and end. This team member will arrange for group access to the building in advance with our Facilities and Equipment Manager. The group is responsible for securing the building, and arming the alarm when exiting the premises. 7. Each group is responsible for their own clean-up. Spills on the floors, tables, and counter tops are to be wiped up. Tables and chairs stacked on carts and returned to storage area. Trash cans are to be emptied into the dumpster located northeast of the Ag Center. 8. There are paper towels and cleaning solutions available to use to wipe up the tables and counter tops. They are located under the kitchen sink. 9. Wireless access is available in our Ag Center subject to approval by Farm Credit Services Southwest. 10. A dropdown screen and overhead projector is available on the east side of meeting room and is available on request. C. Food and Beverage Restrictions 1. Only Beer & Wine may be allowed, however, the User must have liquor liability coverage and Farm Credit Services Southwest listed as an additional insured. If the User is hiring a company to provide alcohol (User is not providing/serving it directly) then a full copy of the contract with this third party provider must be provided for review. Farm Credit Services Southwest is to be held completely harmless for any alcohol related claims. Proof of liquor liability coverage through a copy of an insurance policy and/or endorsement may be requested in advance of any usage. 2. No red, orange, grape or like colors of Kool-Aid, wine or juice are allowed. Light colored juices such as orange juice, apple juice, or soda, and white wine, are allowed. 3. Users will need to provide their own juice, soda, or coffee. 4. Advance notice is required if the outdoor BBQ, refrigerator, stove or other kitchen appliances are needed for your group. 5. Nobody under the age of 21 may consume alcoholic beverages in the Ag Center. The User assumes the responsibility to monitor and restrict minors in accordance with State and local laws when alcoholic beverages re served. D. Cleaning Deposits/Damages. 1. A cleaning deposit of $250.00 will be charged on all meetings where food and/or refreshments are to be served indoors or outdoors. This deposit may be all or partially refunded after the event, based on whether additional cleanup is required. Each User should designate a primary and secondary contact that will be the responsible party for the organization. No cleaning deposit will be required for day use meetings during business hours provided the meeting room is left in “ready to use again condition”. 2. Unless otherwise agreed to by Farm Credit Services Southwest, the kitchen shall be used to serve catered food only, no cooking will be permitted except for teaching purposes such as 4-H. The User must notify Farm Credit Services Southwest if use of the outdoor BBQ is anticipated. 3. Any damage to the premises or equipment will be the responsibility of the User and will be billed accordingly. 4. In the event of a claim or loss resulting from the failure of securing the building and arming the alarm upon exiting, the primary or secondary contact individual and the organization will be held liable. 5. An inspection of the Ag Center and surrounding premises will be done by Farm Credit Services Southwest following each use. Each user will be subject to additional costs for any damage or required cleaning due to abuse, neglect or accident. E. Permitted/Prohibited Acts 1. If alcohol is to be served/consumed, User must provide General Liability insurance of $1M per occurrence and $2M aggregate, including liquor liability, with Farm Credit Services Southwest listed as additional insured. Proof of General Liability insurance meeting these requirements (including Farm Credit Services Southwest named as an additional insured) will be requested in advance of any usage through a Certificate of Insurance and/or insurance policy including all endorsements. 2. There is NO SMOKING allowed in the Ag Center or any other area on the premises within 25 feet of the building. 3. Use of the Ag Center for political campaigning is not permitted. 4. Approval to use the Ag Center is not transferable to another person or group. 5. The number of attendees in the Ag Center shall not exceed 100. 6. No object may be attached to the walls of the Ag Center. 7. All Users must receive prior approval for use of any equipment located in the Ag Center or belonging to Farm Credit Services Southwest, including kitchen appliances. 8. User shall not, and shall not allow any guests to, play on the tractor monument, sand around it, or run or play in the landscaped areas or in the parking lot. F. RELEASE AND HOLD HARMLESS. 1. User hereby acknowledges and understands the Terms of Use, and agrees to be bound by these terms. 2. User hereby acknowledges that they have been shown the location of the fire alarms, fire exits, and fire extinguishers in the event of an emergency and they are responsible for disseminating this information as well as the rules listed above to all guests/attendees. 3. User hereby agrees to hold Farm Credit Services Southwest, its employees, directors, and agents harmless for any and all liability, claims, and lawsuits for any accident, injury, damages, or loss resulting from any use of the Ag Center Meeting Room or Farm Credit property. User hereby assumes the entire risk of and responsibility for loss of whatever type including, but not limited to bodily injury or death, and of damage to property, and the loss of such property, from whatsoever cause during the use of the Ag Center. User shall indemnify and hold Farm Credit Services Southwest harmless from and against any and all claims, losses, liabilities (including, without limitation, negligence, tort and strict liability), damages, judgments, suits, and all legal proceedings, and any and all costs and expenses in connection therewith (including attorneys’ fees), regardless of whether such claims or legal proceedings are based in whole or in part on the alleged or actual negligence of User, including, without limitation, claims for injury to or death of persons, for damage to property, for violation of any law, rule or regulation of any public authority, and for environmental damage and clean-up. This Use Agreement may be kept on file with Farm Credit Services Southwest and will govern all future uses of the Ag Center by the User, unless Farm Credit Services Southwest is notified otherwise.
